Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs your use of the ComplyAlways platform provided by Fix Your Cloud LLC ("ComplyAlways," "we," "us," or "our"). This AUP is incorporated by reference into the ComplyAlways Terms of Service ("Terms"). Capitalized terms not defined in this AUP have the meanings assigned to them in the Terms.

Violation of this AUP may result in suspension or termination of your account, with or without notice, depending on the severity of the violation.

1. General Requirements

You agree to use the Service only for lawful purposes and in accordance with these Terms and this AUP. You are responsible for ensuring that all Authorized Users within your Organization comply with this AUP.

2. Prohibited Uses

You may not use the Service to:

2.1 Illegal Activity

  • Violate any applicable local, state, national, or international law or regulation;
  • Facilitate or promote any criminal activity;
  • Launder money or finance terrorism;
  • Evade sanctions or export control restrictions.

2.2 Harmful or Abusive Content

  • Upload files containing malware, viruses, trojans, ransomware, or other malicious code;
  • Upload content that is defamatory, obscene, threatening, harassing, or that promotes violence or hatred;
  • Upload content that infringes the intellectual property rights of any third party;
  • Upload content that violates any confidentiality or non-disclosure obligations to which you are bound, unless you have obtained the necessary permissions.

2.3 Misrepresentation of AI-Generated Content

  • Present AI-Generated Content as manually authored human work without disclosure to the recipient that AI tools were used in drafting;
  • Present AI-Generated Content as certified, audited, or independently verified compliance advice;
  • Submit AI-Generated Content in security questionnaires, RFP responses, or compliance documentation without independent human review and approval;
  • Claim that AI-Generated Content constitutes a professional compliance assessment, audit opinion, or certification.

2.4 System Abuse

  • Attempt to circumvent usage limits, rate limits, or access controls through any means, including creating multiple accounts;
  • Perform automated scraping, crawling, or data extraction from the Service;
  • Attempt to probe, scan, or test the vulnerability of the Service without prior written authorization;
  • Intentionally overload, disrupt, or degrade the performance of the Service or its underlying infrastructure;
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
  • Use the Service through any automated means (bots, scripts, or similar) except through documented APIs provided by ComplyAlways.

2.5 Unauthorized Access

  • Access or attempt to access another Organization's data, accounts, or resources;
  • Share your account credentials with unauthorized individuals;
  • Impersonate any person or entity, or falsely state or misrepresent your identity or affiliation;
  • Access the Service using stolen, borrowed, or shared credentials.

2.6 Competitive Misuse

  • Use the Service to build a competing product or service;
  • Benchmark the Service for the purpose of publishing a competitive comparison without our prior written consent;
  • Resell, sublicense, or redistribute access to the Service to third parties without a written reseller agreement.

2.7 Data Restrictions

  • Upload personal health information (PHI) subject to HIPAA unless you have a signed Business Associate Agreement (BAA) with ComplyAlways;
  • Upload payment card data (credit card numbers, CVVs) subject to PCI DSS;
  • Upload personal data of individuals without a lawful basis for doing so;
  • Store classified government information or information subject to ITAR or EAR restrictions on the Service without prior written authorization.

3. Usage Limits

3.1 Plan Limits

Each Subscription Plan includes specific limits on:

  • Number of questionnaires processed per month
  • Number of AI-generated drafts per month
  • Number of knowledge base documents
  • File upload size
  • Total storage capacity
  • Number of team members

Current limits are published on our pricing page. You agree to operate within the limits of your selected plan.

3.2 Rate Limits

The Service enforces rate limits on API calls, file uploads, and AI generation requests to ensure fair usage and system stability. You agree not to circumvent these limits.

3.3 Fair Use

For plans that include "unlimited" features (such as unlimited questionnaires on the Pro and Enterprise plans), usage must be consistent with normal business operations. We reserve the right to contact you if your usage pattern significantly exceeds what is typical for your plan tier, and to apply reasonable limits after discussion.

4. Content Standards

4.1 Your Responsibility

You are responsible for all content uploaded to the Service, including:

  • Ensuring you have the legal right to upload each document;
  • Ensuring content does not violate applicable laws or third-party rights;
  • Ensuring sensitive or confidential documents are appropriate for cloud storage given your organization's policies and any contractual obligations.

4.2 Content Review

We do not proactively monitor or review Customer Data for compliance with this AUP. However, we reserve the right to investigate potential violations and to remove content or suspend accounts if we determine that a violation has occurred.

5. Reporting Violations

If you become aware of any activity that violates this AUP, please report it to:

Include as much detail as possible, including the nature of the violation, the account or organization involved (if known), and any supporting evidence.

6. Enforcement

6.1 Investigation

We may investigate suspected violations of this AUP. During an investigation, we may:

  • Temporarily restrict access to the affected account or Organization;
  • Review usage patterns and metadata (but not the content of Customer Data unless required by law);
  • Request information from the account owner regarding the suspected violation.

6.2 Consequences

Violations of this AUP may result in, at our sole discretion:

  • A warning with a requirement to cure the violation within a specified time;
  • Temporary suspension of access to the Service;
  • Permanent termination of the account;
  • Removal of offending content;
  • Reporting to law enforcement authorities where required or appropriate.

6.3 Severity-Based Response

  • Minor violations (e.g., accidental limit circumvention): Written warning and 7-day cure period.
  • Moderate violations (e.g., content policy violations): Immediate suspension pending investigation, with opportunity to respond within 5 business days.
  • Severe violations (e.g., illegal activity, security threats, data exfiltration): Immediate and permanent termination without notice, and potential referral to law enforcement.

7. Changes to This Policy

We may update this AUP from time to time. Changes will be effective when posted. For material changes, we will provide at least thirty (30) days' notice to active subscribers. Your continued use of the Service after changes take effect constitutes acceptance of the updated AUP.
